Seller Agreement

1. Who This Agreement Is For

This Seller Agreement applies to any user who creates payment links or lists digital products for sale on Walled. It supplements and is incorporated into the Walled Terms of Service.

Sales on Walled are made by Walled as merchant of record: buyers purchase from Walled, and Walled sells your content under the licence you grant in this agreement and the Terms of Service. You are compensated for each sale as set out in the Platform Fees and Payouts sections below.

By submitting your first product or payment link, you agree to this agreement. If you do not agree, do not activate seller features on your account.

2. Identity Verification (KYC)

Before receiving your first payout, you must complete identity verification through our KYC provider (Didit). This includes submitting a valid government-issued ID and, in some cases, a selfie for liveness verification.

KYC verification is required by financial regulations. Walled reserves the right to hold payouts until KYC is approved. If your KYC is rejected, we will notify you with a reason and you may resubmit.

3. Seller Responsibilities

You represent and warrant that: (a) you own or have full rights to license the products you list; (b) your product descriptions, prices, testimonials, comparisons, and availability claims are accurate and not misleading; (c) you will fulfil each purchase promptly and maintain functional access; and (d) your products and activities comply with applicable law and payment-network rules.

You are solely responsible for the content you upload, including text, files, images, and downloadable assets. When Walled asks for information about a buyer case, you must provide accurate delivery, access, or other relevant evidence within 48 hours where reasonably possible. You may use buyer information only to fulfil the purchase or provide requested support, and must keep it confidential.

4. Product Moderation

All hosted digital products are subject to admin review before publication. Review typically takes 1–3 business days. You will be notified of approval, rejection, or requests for revision.

Payment links are reviewed before activation and remain subject to ongoing monitoring. Walled may disable a listing or payment link where it appears to breach policy, creates buyer harm or payment risk, or requires further review. We will give notice where reasonably practicable.

5. Platform Fees

Walled charges the platform fee disclosed in your account for each transaction. The active policy will state whether the payment processor's fee is included in that percentage or deducted separately.

Your transaction details show the gross amount, actual processor fee, Walled's platform share, and resulting net amount.

Fee rates are visible in your dashboard. Walled may update its fee rates with 30 days' written notice to active sellers.

6. Payouts, Holds and Reserves

You may request a payout of your available balance at any time through the Walled dashboard. Payout requests are reviewed and processed by a Walled administrator, typically within 3–5 business days.

Transaction proceeds are normally held for 7 days after each payment before becoming available for payout. We may extend a hold or maintain a reasonable reserve if there is a refund request, card dispute, unusual transaction pattern, delivery concern, policy breach, compliance requirement, or processor risk. A hold or reserve is not a penalty and is released when the related risk is resolved, subject to applicable law and processor requirements.

Payouts are made in Mozambican Metical (MZN) via M-Pesa, eMola, mKesh, or bank transfer, using the USD/MZN rate published on the platform at the time of payout approval. You must have a valid payout method configured in your account settings. Reserves do not earn interest unless required by law.

7. Chargebacks and Refunds

Opening a buyer-support case does not itself create a Stripe refund. If Walled approves a refund, or a buyer initiates a formal card dispute, you authorise Walled to hold or deduct the refund or disputed amount, applicable processor fees, and reasonable documented costs from your available balance or reserve while the matter is resolved. Walled does not charge a dispute fee merely because a buyer opens a support case or an enquiry.

For each formal card dispute, Walled's current seller chargeback fee is USD 15. The fee is charged separately from the disputed sale amount and reflects Stripe's dispute-received fee. Stripe states that dispute-received fees are generally non-refundable, including when a business wins; see https://docs.stripe.com/disputes/how-disputes-work. If Stripe does not return the fee, Walled will not return it. If Stripe changes the fee Walled is charged, we will give sellers advance notice before changing this seller fee.

If the relevant sale proceeds have already been paid to you, you authorise Walled to recover the net proceeds previously credited for that sale and the applicable dispute fee from your available balance. If the relevant amount is not available, you authorise Walled to set it off against future earnings, including after your seller account is closed, to the extent permitted by law. We may suspend payouts, listings, or seller features for repeated disputes, suspected fraud, or material delivery failures. We will show the hold or debit in your transaction records and provide available case details and a reasonable opportunity to provide evidence unless immediate action is needed to protect buyers, Walled, or a payment processor.

Sellers are responsible for maintaining acceptable dispute rates. Stripe or another processor may impose additional restrictions. You must cooperate promptly with evidence requests; failure to respond may affect Walled's ability to defend a claim.

8. Prohibited Products and Activities

You may not use Walled to sell: illegal goods or services; counterfeit or intellectual-property-infringing items; unlicensed financial or investment products; gambling or lottery services; adult content without compliant age-verification; hate speech or materials that incite violence; weapons, drugs, or controlled substances; or anything on Stripe's Restricted Business list.

Violation of this section will result in immediate account suspension and forfeiture of pending payouts to the extent required by law.

9. Taxes

You are responsible for your own income, business, and other taxes arising from your earnings, and for providing accurate tax information. Walled is responsible for taxes it is legally required to collect, remit, or report as merchant of record, where applicable.

Walled provides a transaction history in your dashboard to assist with tax reporting. Walled may withhold or report taxes where required by applicable law.

10. Indemnity and Termination

To the extent permitted by law, you will indemnify and hold Thinqr-Org, LLC harmless from third-party claims, losses, liabilities, and reasonable costs arising from your content, product, fulfilment, inaccurate listing, breach of this agreement, or violation of law or another person's rights. We will notify you of a claim where reasonably practicable and allow you to provide relevant information.

Either party may terminate this agreement with written notice. You may close your seller account by contacting team@thinqr.org. Walled may suspend or terminate seller access for material breach, repeated policy violations, KYC failure, material buyer harm, or where required by a processor or law. Holds, reserves, recovery rights, and obligations connected to prior transactions survive termination.
